Welcome to the Core and Floor Restore (CFR) Business Directory.  

This Listing Agreement outlines the terms and conditions for listing your business in our online Directory, which connects health and fitness professionals with individuals seeking  services in your field. 

This Agreement is entered into by and between CFR, the Directory Operator, and the individual or entity listed in the Directory, referred to as the "Business Listing."  

Please read the Agreement carefully to ensure you understand the responsibilities and benefits associated with your listing.  

We are committed to providing a platform that aligns with our values and supports your professional growth. 

By submitting your application and payment, you agree to be bound by the terms of this  Agreement.  

Definitions 
For this Agreement, the following terms shall have the meanings below: 

• "Agreement" refers to this Directory Listing Agreement, including any amendments or updates made from time to time that govern the terms and conditions for your listing in the CFR Business Directory. 
• "Applicant": Refers to the individual or business entity that applies to be listed in the Business Directory. This term is used interchangeably with "Business Listing." 
• Approval Process": Refers to the process through which the Directory Operator  
  reviews applications to ensure the listed business aligns with the Directory's  values and philosophy. This process includes, but is not limited to, reviewing the  Applicant's submitted intake form and supporting materials.
• "Business Directory": CFR provides and operates an online directory that lists health and fitness professionals, including but not limited to physiotherapists, osteopaths, chiropractors, psychologists, yoga instructors, massage therapists, doulas, and private midwives. This Directory is designed to connect businesses within the health and well-being industry with potential clients or customers. 
• "Business Listing" or "You": Refers to the individual or entity applying to be listed in the CFR Business Directory, whether a sole trader, company, partnership, or other legal entity. 
• "Directory Operator" or "We" refers to CFR, the business providing and managing the Business Directory. The Directory Operator is responsible for maintaining the online platform, reviewing applications, managing listings, and ensuring the Directory's functionality. 
• "Intake Form": Refers to the online form submitted by the Applicant, which includes necessary Information such as the business name, philosophy, contact details, and other relevant data. The Directory Operator reviews this data as part of the approval process.
• "Listing": Refers to the entry in the Business Directory created for the Business Listing, which may include, but is not limited to, the business name, contact information, professional bio, website link, and any other information submitted by the Business Listing. 
• "Listing Duration": Refers to the length of time a business remains listed in the Business Directory, typically 12 months from the date of approval. After this  period, the business must renew its listing to continue appearing in the Directory.
• "Listing Fee": Refers to the fee charged by the Directory Operator for including a business in the Business Directory. This fee is required for each listing and must be paid at the time of application. 
• "Payment Methods": Refers to the payment options accepted by the Directory Operator for the Listing Fee, including PayPal, credit card, ShopPay, Google Pay, and Afterpay. 
• "Privacy Policy": Refers to the document that outlines how the Directory Operator collects, stores, uses, and shares personal and business Information from applicants and users of the Business Directory. The Privacy Policy also specifies the rights of businesses and users regarding their data.
• "Professional Code of Conduct": Refers to the ethical guidelines and industry standards that the listed businesses are expected to adhere to in order to maintain their listing in the Business Directory. This may include adherence to professional codes, legal requirements, and the Directory's values related to trauma-informed, evidence-based health practices.
• "Termination": Refers to the removal or cancellation of a business listing from the Business Directory, either by the Directory Operator or by the Business Listing itself, according to the terms outlined in this Agreement.

Eligibility and Application Process 

Eligibility Criteria: To be eligible to be listed in the Business Directory, applicants must meet the following requirements:

• Provide a valid business name
• Contact details,  
• ABN; and
• Submit a completed intake form, which the Directory Operator will review.
• Demonstrate that their philosophy and practices align with the Directory Operator's progressive, integrated, trauma-informed, and evidence-based approach to health.

Application Process: Applicants must complete the online application form on the Directory website. After submission, the Directory Operator will review the application and approve or decline the listing based on the criteria mentioned above. 

Approval: Listings will only be approved if they meet the Directory's criteria. The Directory Operator reserves the right to reject any application that does not align with the Directory's philosophy or standards. 

Listing Details and Content 

Required Information: The following details must be provided for each Business Listing: 

• Business Name,
• Contact Information,  
• ABN,  
• Philosophy Statement,  
• Bio, and  
• any other required details as specified by the Directory Operator.

Account and Access: Businesses do not require an account or password to create a listing. However, they must submit all required details through the online application form.  

Any changes to listing details must be communicated via email to the Directory Operator. 

Approval Process: Listing applications will be reviewed by the Directory Operator, and approval will be based on the alignment of the Applicant's philosophy and practices with the Directory's values. 

Listing Duration and Renewal 

Duration: Each listing is valid for 12 months from the date of approval.

Renewal: Businesses will need to renew their listing at the end of the 12 months by submitting a renewal application and paying the applicable fee. 

Auto-Renewal of Listing:  
Unless you provide written notice of cancellation at least 14 days prior to the end of your current listing period, your listing will automatically renew for a further 12 months. 

You will be charged the applicable Listing Fee at the time of renewal using the payment method on file or as otherwise agreed. 

A reminder email will be sent to your nominated contact address at least 7 days before the renewal date.  

You may cancel your listing at any time before the renewal date by notifying us in writing at hello@coreandfloor.com.au. Your listing will then expire at the end of the current term. 

If payment for the renewal is not received or processed successfully, your listing may be suspended or removed from the Directory until payment is made. 

Listing Changes: Any changes to a listing, including changes to the Business Name, contact details, or services offered, must be communicated to the Directory Operator via email at hello@coreandfloorrestore.com. 

Payment and Fees 

The Listing Fee is a one-time, non-refundable charge that must be paid upon submission of the application. 

This fee covers the cost of listing the business in the Directory for the duration specified in Section 4 of this Agreement. 

Payment Methods: The Directory Operator accepts the following payment methods for the Listing Fee: 

• PayPal
• Credit Card
• ShopPay
• Google Pay
• Afterpay payment will be processed through the selected method at the time  of application submission. 

Payment Terms: The Listing Fee must be paid in full at the time of application. The business will not be listed in the Directory until the full payment is received and processed. If payment is not successfully processed, the application will be considered incomplete, and the listing will not be approved or published. 

Payment for Renewal: The Listing Fee is due again upon renewal of the listing for the following 12-month period.  

A renewal reminder will be sent to the business prior to the expiration of their listing period.

Free Listings 
From time to time, the Directory Operator may offer complimentary listings ("Free Listings") as part of a promotional campaign, partnership arrangement, or at its sole discretion.  

Free Listings are provided at no cost to the business for a limited time, as determined by the Directory Operator, unless otherwise agreed upon in writing.

Free Listings are subject to the same application, approval, content, privacy, and conduct provisions outlined in this Agreement as paid listings.

The Directory Operator reserves the right to review, modify, or remove Free Listings at any time without notice, and is under no obligation to offer renewal, extension, or conversion to a paid listing. 

No refunds, credits, or compensation will be provided in relation to Free Listings under any circumstances.  

The Directory Operator may, at the conclusion of the Free Listing period, invite the business to renew their listing on a paid basis. If payment is not received by the applicable renewal date, the listing may be deactivated or removed without further notice. 

Refund Requests and Cancellation 

Non-Refundable Fees: The Listing Fee is non-refundable once payment has been processed. The directory Operator commits resources to the review  process, the maintenance of the directory platform, and the administration of  each listing upon receipt of the payment. 

Exceptions to the No-Refund Policy: Refunds may only be considered under the following specific circumstances: 

• Directory Operator Failure: If the Directory Operator fails to provide the  listing service as described in the Agreement (e.g., if the Directory is offline  for an extended period or is unable to function due to technical issues), a  refund may be issued, subject to review by the Directory Operator.
  
• Duplicate Payment: If a business is charged twice for the same listing due  to an error in the payment processing system, a refund of the duplicate  payment may be issued. 
  

Requests for Refunds:  
Any request for a refund must be made in writing to the Directory Operator, outlining the reason for the refund request.  

The Directory Operator will assess the situation and determine whether the refund is warranted based on the circumstances.  

Refund requests should be submitted within 30 days of the payment date.

Cancellation of Listing:  

If a business chooses to cancel its listing before the completion of the 12- month listing period, the listing fee will not be refunded.  

The cancellation will be effective at the end of the current listing period. However, the business will remain listed in the Directory until the termination date. 

Disclaimers and Limitation of Liability 
No Guarantee of Business: The Directory Operator makes no guarantees that  being listed in the Business Directory will result in any business or client engagement. 

Limitation of Liability: The Directory Operator is not responsible for any actions or omissions of businesses listed within the Directory. The Directory Operator's liability is limited to the total amount paid for the listing.

Professional Liability: Businesses listed in the Directory are solely responsible for the services they provide and must ensure that these services comply with all applicable laws and regulations. 

Privacy and Data Protection 

Privacy Policy: The Directory Operator will collect, store, and use personal and business Information in accordance with applicable privacy laws. 

A Privacy Policy will be available to all users, and businesses agree to its terms by submitting an application. 

Data Sharing: The Directory Operator may share the Information provided by listed businesses with potential customers viewing the Directory, but will not share sensitive or private data without the consent of the listed businesses.

Intellectual Property 

Ownership of Content Submitted by Businesses:  

The content and materials that businesses submit for inclusion in the Business Directory, including but not limited to business names, logos, bios, images, descriptions, contact details, and other proprietary Information, remain the exclusive property of the business.  

By submitting content to the Directory, businesses grant the Directory Operator a non-exclusive, royalty-free, worldwide license to use,  display, distribute, and reproduce the submitted content solely for the purpose of listing the business in the Directory and promoting the Directory on the website and other associated platforms. 

This license is limited to the display of the business's content on the Directory and any related promotional materials, such as social media, advertising, and newsletters. 

The Directory Operator does not claim ownership of the business's intellectual property but reserves the right to use the submitted materials to  promote the Directory and facilitate business visibility. 

Revocation of License:  

Should the business choose to terminate or cancel its listing in the Directory, it may request that all content associated with its listing be removed from the Directory.  

Upon receipt of such a request, the Directory Operator will promptly remove the business's content from public view. 

However, any cached copies or content that was previously used for promotional purposes may remain available in archives or for legal compliance reasons. 

Directory Operator's Ownership:  

Use of Directory Branding: 
a. The business agrees not to use any of the Directory Operator's trademarks, logos, or branding without prior written permission.  

b. Unauthorised use of the Directory Operator's intellectual property may result in the immediate termination of the business's listing and other legal remedies available under intellectual property law.

Sub-License of Content:  
a. By submitting content for listing, the business also grants the Directory Operator the right to sub-license the content to third parties for promotional purposes, affiliate marketing, or collaborations that align with the Directory's mission.

b. This sub-license will be governed by the same terms as the original  license and will not extend beyond the scope of promoting the Directory and its listed businesses. 

Third-Party Content:  

If the business submits content that includes intellectual property  belonging to third parties (such as copyrighted materials, trademarks, or patented inventions), it must ensure that it has the necessary rights or  licenses to use such content.  

The business agrees to indemnify the Directory Operator against any claims, losses, or damages arising from the infringement of third-party  intellectual property rights. 

Modification of Content: The Directory Operator reserves the right to modify, resize, or format the content submitted by the business to ensure it fits the  Directory's layout and design. However, the Directory Operator will not alter the core content or meaning of the business's materials without the business's consent. 

Amendments 
The Directory Operator reserves the right to modify or amend the terms and conditions of this Agreement at any time. Businesses will be notified of any significant changes.

Governing Law: This Agreement is governed by the laws of the State of Queensland, Australia. Any disputes arising from this Agreement shall be resolved in the jurisdiction where the Directory Operator's business is located. 

Binding Agreement: By submitting an application and paying for a listing, you agree to be bound by the terms of this Agreement.
